1. About These Terms
These Terms & Conditions ("Terms") govern your use of Techwares Cloud ("we", "us", "our", "Techwares") and the hosting services we provide through our website at techwares.cloud (the "Service"). By registering an account or using our Service, you agree to these Terms. If you do not agree, please do not use our Service.
2. Our Service
We provide hosting, infrastructure and related digital services as described on our website. The specific features, resources, limitations and pricing of each Service are shown on the relevant product or checkout page and form part of your agreement with us.
We reserve the right to modify, suspend, or discontinue any aspect of the Service with reasonable notice. Where changes materially affect the Service you have purchased, we will notify you via email or your registered contact address.
We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. Software updates, maintenance, and security patches may cause temporary disruption.
3. Acceptable Use Policy
You agree not to use the Service for any unlawful, harmful, or prohibited purpose, including but not limited to:
Distributing malware, ransomware, viruses, or other malicious software.
Sending unsolicited bulk email (spam) or operating open relays.
Hosting, distributing, or linking to illegal content under UK law, including but not limited to content that infringes intellectual property rights, is defamatory, or violates the Obscene Publications Act 1959.
Attempting to gain unauthorised access to other systems, networks, or accounts (hacking, brute-forcing, scanning).
Participating in or facilitating distributed denial-of-service (DDoS) attacks.
Operating Tor exit nodes or public proxies without prior written consent.
Mining cryptocurrency or running resource-intensive automated processes that impact other customers on shared infrastructure.
Hosting child sexual abuse material (CSAM)
Facilitating phishing, fraud, or financial crime.
Violating the Computer Misuse Act 1990, Data Protection Act 2018, or any other applicable UK legislation.
We may suspend or terminate any VPS found to be in violation of this policy without prior notice.
4. Payments, Billing & Tax
All fees for the Service are billed in advance and are displayed in GBP (£) or USD ($) as selected in your Account.
Invoices are generated at the point of purchase and are due immediately unless otherwise stated.
Late or failed payments may result in suspension of your VPS.
Prices are subject to change with at least 30 days' notice for existing subscriptions.
Payment methods available are those displayed at checkout. Payments are processed by PCI-DSS compliant third-party payment processors.
5. Consumer Rights & Cancellation
If you are a Consumer (acting for purposes outside your trade, business, or profession), you have additional rights under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013:
14-day cooling-off period: You may choose to cancel your service within 14 calendar days of receiving your VPS credentials for a full refund.
Right to a service performed with reasonable care and skill: We will provide the Service with reasonable care and skill, as required by section 49 of the Consumer Rights Act 2015.
Remedies for faulty service: If the Service does not conform to these Terms, you may be entitled to a repair, price reduction, or refund as set out in the Act.
No hidden fees: The total price including taxes and any mandatory charges will be clearly displayed before you complete your purchase.
To exercise your right of cancellation, raise a ticket or contact us via email.
6. Refund Policy
In addition to your statutory cancellation rights:
Refunds are available within 14 days as set out in Section 5. Beyond the cooling-off period, refunds are at our discretion.
No refund is provided where a VPS has been terminated due to a violation of these Terms.
Refunds are issued to the original payment method within 14 calendar days of approval.
7. Service Availability
We aim for high availability but do not guarantee 100% uptime. The Service may be affected by:
Scheduled maintenance (notified at least 48 hours in advance where possible).
Emergency maintenance or security patching.
Third-party upstream provider outages.
Force majeure events (see Section 11).
We are not liable for downtime caused by factors outside our reasonable control.
8. Your Data & Backups
You are responsible for backing up your own data stored on your VPS. While we may offer backup features (e.g., manual snapshots), we do not guarantee data recovery and are not liable for data loss arising from:
Hardware failure or corruption.
Your failure to configure or maintain backups.
VPS deletion, reinstallation, or termination.
Force majeure or third-party actions.
While we take measures to prevent data loss or corruption, we recommend maintaining off-site backups independent of the Service. Our backup features should not be used as your only backup.
9. Intellectual Property
All software, branding, design, and content on our website and Control Panel are owned by us or our licensors and are protected by UK and international intellectual property law. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our written consent.
You retain all rights to the data and software you install on your VPS. You are responsible for ensuring that your use of any software does not infringe third-party rights.
10. Suspension & Termination
Suspension: We may suspend your VPS or Account immediately if:
You violate these Terms or our Acceptable Use Policy.
Your VPS poses an immediate security risk to our infrastructure or third parties.
Payment is overdue.
We are required to by law, regulation, or court order.
Termination by you: You may cancel your Account and VPS at any time through the Control Panel or by contacting us. Cancellation takes effect at the end of the current billing period unless you request immediate termination.
Termination by us: We may terminate your Account with 30 days' notice for any reason other than violation. For violations, we may terminate immediately. Upon termination, your VPS data will be deleted within 14 calendar days.
For Consumers, nothing in this Section affects your statutory rights under the Consumer Rights Act 2015.
11. Limitation of Liability
Nothing in these Terms excludes or limits our liability for:
Death or personal injury caused by our negligence.
Fraud or fraudulent misrepresentation.
Liability that cannot be excluded or limited under UK law.
Subject to the above, we shall not be liable for:
Indirect, incidental, special, or consequential damages.
Loss of profits, revenue, business, or goodwill.
Loss or corruption of data (you are responsible for backups).
Any loss arising from your use or inability to use the Service.
Force majeure: We are not liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including acts of God, war, terrorism, cyber attacks, internet or power infrastructure failures, government action, or upstream provider outages.
12. Complaints & Dispute Resolution
We aim to resolve all complaints promptly. To make a complaint:
Contact us in the first instance through your Control Panel ticket system or by email.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that Consumers resident in Scotland or Northern Ireland may bring proceedings in the courts of their domicile.
Nothing in these Terms excludes, restricts or overrides any rights or protections you have under UK law that cannot legally be excluded or limited. If any provision of these Terms conflicts with applicable law, the law will take precedence.
14. Changes to These Terms
We may update these Terms at any time.
Continued use of the Service after the effective date of any change constitutes acceptance of the updated Terms.
15. Entire Agreement
These Terms constitute the entire agreement between you and Techwares regarding your use of the Service. They supersede any prior agreements or understandings, whether written or oral.
